Key Rules and Structure of Ajman Offshore
Ajman offshore companies operate under specific regulatory rules set by AFZA. Understanding these before applying ensures your company is structured correctly from the start.
Key Rules and Structure
7- At least one shareholder is required, with no maximum shareholder limit.
- A minimum of two directors is required. Directors must be natural persons, and corporate entities cannot serve as directors. A maximum of five directors is allowed.
- Shareholders must be physically present to sign documents before AFZA executives, or may authorise an attorney via Power of Attorney.
- An approved registered agent must be appointed. The agent handles all AFZA filings and their office address serves as the company registered address.
- Business activities are confined to offshore permitted operations. The company cannot conduct business within the UAE mainland or sell directly to UAE based customers.
- The company can own a maximum of three UAE properties, subject to AFZA approval. UAE residence visas cannot be obtained through an Ajman offshore company.
- Proper accounting records must be maintained, and shareholders and directors must complete identity verification and KYC checks under UAE AML requirements.
What an Ajman Offshore Company Cannot Do
4- Trade directly within the UAE mainland or sell to UAE based customers.
- Rent physical office space or establish a physical presence inside the UAE.
- Employ staff in the UAE or obtain UAE work or residence visas for shareholders.
- Apply for a traditional trade licence. The offshore company receives a certificate of incorporation, not a trade licence.
International Trade
Conduct import, export, and re-export operations internationally. General trading activities are permitted under the offshore structure.
Hold UAE Company Shares
Own stakes in UAE free zone companies and mainland LLCs. An Ajman offshore company can be used as a holding vehicle for UAE business interests.
Own Real Estate
Hold ownership of up to three UAE properties in designated areas, subject to approval from AFZA.
Asset Protection
Shield personal or business assets from potential legal claims by placing ownership within a properly structured offshore entity.
IP and Licensing
Own intellectual property rights, software licenses, trademarks, and patents and license them internationally.
Open Bank Accounts
Operate multi-currency bank accounts in the UAE or internationally to manage global business cash flows and investments.
